These Terms of Use (the “Terms”) govern access to and use of the website located at https://cels.com and its subdomains (the “Website”). The Website is operated by CELS LLP (“Company”, “we” or “us”).
These Terms apply to anyone who visits, browses or otherwise uses the Website (“you” or “User”). These Terms govern the Website only and do not grant any right to access or use any software, products or services offered by the Company, which may be subject to separate agreements or terms.

1. Acceptance of These Terms

1.1 By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.
1.2 If you are accessing the Website on behalf of an organisation, you represent and warrant that you are authorised to accept these Terms on that organisation’s behalf, and references to “you” include that organisation.
1.3 The Company may amend these Terms from time to time by publishing an updated version on the Website. Any changes will take effect on the date specified in the updated Terms. Where changes are material, the Company may provide additional notice through the Website or by other reasonable means.
1.4 Your continued access to or use of the Website after the effective date of any updated Terms constitutes your acceptance of those updated Terms.

2.1 The Website is provided to enable users to learn about the Company, its products and services, access published content such as blog articles, request information or quotations, and communicate with the Company through any contact or enquiry forms made available on the Website.
2.2 The Website is provided for informational and communication purposes only and does not provide direct access to the Software. Any evaluation, pilot, demonstration, proof of concept, or trial use of the Software may be made available only pursuant to separate agreements or arrangements entered into directly with the Company.

The specifications, scope and performance of the Software actually licensed to a customer are as set out in the applicable Software Terms.
6.3 Nothing in this clause 6 excludes or limits any term implied by law that cannot lawfully be excluded.

7. Limitation of Liability

7.1 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law.
7.2 The Website is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the Company shall not be liable for any indirect or consequential loss, or for any loss of profit, revenue, business, or goodwill arising out of or in connection with the use of the Website, whether in contract, tort (including negligence) or otherwise, even if such loss was foreseeable.
7.3 This clause 7 does not apply to liability arising under any separately agreed Software Terms, which are governed exclusively by their own limitation of liability provisions.

8. Privacy

8.1 Any personal data submitted through the Website (for example, through enquiry or contact forms) will be processed in accordance with the Company’s Privacy Policy.

9. Governing Law and Jurisdiction

9.1 These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with applicable law.
9.2 The courts of the jurisdiction where the Company is established shall have jurisdiction to settle any such dispute, unless otherwise required by mandatory applicable law.

10.5 Relationship to Software Terms: These Terms apply to use of the Website only and do not govern any software, products or services provided by the Company under separate agreements, which shall prevail in case of conflict.
